These Terms of Service (“Terms”) govern your use of the website cargoexchange.in, our web platforms and mobile apps, and our WhatsApp and other messaging channels (together, the “services”), provided by Cargo Exchange India Private Limited (“Cargo Exchange”, “we”, “us”), a company incorporated under the Companies Act, 2013, with its registered office at Plot No 147, High Tension Road, Spell Bound Tower, O.U.T Colony, Hyderabad, Medchal Malkajgiri, Telangana 500094, India.

By using the services you agree to these Terms. If you use them for an organization, you agree on its behalf and confirm that you are authorised to do so. If your organization has a separate written agreement with us for the services, that agreement prevails where it conflicts with these Terms.

1. Our services

We provide platforms for shippers, transporters and intermediaries to exchange loads, track shipments, generate e-way bills and analyse transport operations, together with messaging channels, including WhatsApp, for notifications and support. We may change, suspend or discontinue any feature, and may limit access to parts of the services, at any time.

2. Eligibility and accounts

• You must be at least 18 years old and able to enter into a binding contract.
• Keep the information you give us accurate and up to date.
• Keep your sign-in details confidential. You are responsible for activity under your account; tell us at once at info@cargoexchange.in if you suspect unauthorised use.

3. Messages, including WhatsApp

• When you give your phone number to us, or to a business that uses our services, you agree to receive service messages about your shipments, trips, documents, payments and account by WhatsApp, SMS or email. We send promotional messages only with your consent.
• You can opt out at any time by telling us in the chat or by blocking our number. Messages your organization requires may then reach you another way.
• Your mobile or internet provider's charges for data or messages may apply.
• Your use of WhatsApp is also subject to WhatsApp's terms and privacy policy. Meta is not responsible for our messages, and WhatsApp's business terms apply to our use of its platform.
• Messages may be answered by automated replies or by our staff, and we do not guarantee a response time. Do not use our WhatsApp channel for emergencies.
• Do not send us unlawful, abusive or harmful content, malware, or anyone's personal data that you have no right to share.

4. Acceptable use

You must not use the services for any unlawful purpose or any purpose these Terms prohibit. In particular, you must not:

• damage, disable, overburden or impair our servers or networks, or interfere with anyone else's use of the services;
• try to gain unauthorised access to any part of the services, other accounts, or systems connected to our servers, by hacking, password mining or any other means;
• obtain or try to obtain material or information by any means we have not intentionally made available, including scraping;
• copy, modify, reverse engineer or resell the services, except as the law allows;
• impersonate anyone, or upload content that infringes others' rights.

5. Your information

You are responsible for the information you provide through the services and confirm that you have the right to provide it. You allow us to use it as needed to provide the services. Our Privacy Policy explains how we handle personal data.

6. Intellectual property

The services, including the website and all materials on it (other than third-party materials), belong to Cargo Exchange and are protected by copyright and other laws. We do not grant you any right under our patents, trademarks, copyrights or trade secrets except the right to use the services under these Terms. Words such as partner or joint venture describe business relationships and do not necessarily indicate precise legal relationships.

7. Third-party content and links

The services may include information from third parties, such as news, reports and market data, and links to websites we do not control. We do not create or endorse that content and make no promise about its accuracy, completeness or timeliness; it is for general information only and is not tax, legal or investment advice. You visit linked websites at your own risk, and a link does not mean we sponsor or are affiliated with that website.

8. Disclaimers

The services and all information and materials in them are provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. They may contain inaccuracies or errors, which we may correct at any time; we do not promise that they will be uninterrupted or free of viruses. Information on the website is for general information only and is not technical advice.

9. Limitation of liability

To the extent the law allows, Cargo Exchange is not liable for any indirect, incidental, special or consequential loss, or for loss of profits, revenue, data or goodwill, arising from your use of the services. Our total liability for any claim relating to the services is limited to the amount you paid us for the services in the twelve months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited by law.

10. Indemnity

You agree to indemnify and hold harmless Cargo Exchange, its subsidiaries and investors, and their directors, officers, employees, shareholders, partners, agents and affiliates, against any claim, cost, expense, judgment or other loss arising from your use of the services, including any breach of these Terms or of applicable law.

11. Suspension and termination

We may suspend or end your access to the services if you breach these Terms, if the law requires it, or to protect the services or other users. You may stop using the services at any time; sections 6 to 10 and 13 continue to apply after that.

12. Changes to these Terms

We may change these Terms. We will update the date at the top and, for significant changes, tell you through the website or our platforms. If you continue to use the services after a change takes effect, you accept the updated Terms.

13. Governing law and disputes

These Terms are governed by the laws of India, and the courts at Hyderabad have exclusive jurisdiction over any dispute arising from them or from the services. We make no representation that the services are appropriate or available outside India.
